Terms of Service

The terms and conditions that apply when you use the Winikz website or engage us for digital design and development services.

Last updated May 25, 2026

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to winikz.com and any services provided by Winikz. By using our website, contacting us, or entering into a project agreement, you agree to these Terms.

If you are entering into a contract on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Services Overview

Winikz provides creative and technical digital services, including but not limited to website design and development, graphic design, brand identity, UI/UX design, and SaaS-related development.

Specific deliverables, timelines, pricing, and support terms are defined in individual proposals, statements of work, or written agreements. Where a signed project agreement conflicts with these Terms, the project agreement takes precedence for that engagement.

3. Client Responsibilities

To help us deliver quality work efficiently, clients agree to:

  • Provide accurate project requirements, content, branding assets, and access credentials when requested.
  • Review deliverables and provide feedback within agreed timeframes.
  • Ensure supplied materials do not infringe third-party rights or violate applicable laws.
  • Designate a primary point of contact for approvals and communications.

4. Project Scope & Revisions

Each project includes a defined scope of work. Requests outside that scope, such as additional pages, features, design directions, or rounds of revision beyond what was agreed, may require a change request and additional fees.

We will communicate any impact on timeline and cost before proceeding with out-of-scope work.

5. Payments & Billing

Fees, payment schedules, and accepted payment methods are outlined in your proposal or invoice. Unless otherwise stated, projects may require a deposit before work begins, with remaining balances due upon milestone completion or final delivery.

Late payments may pause active work until the account is settled. Clients are responsible for any applicable taxes, bank charges, or currency conversion fees unless explicitly included in the quoted price.

6. Intellectual Property

Upon receipt of full payment for the agreed project, ownership of final deliverables created specifically for you, such as custom designs, website code, and brand assets, transfers to you, unless otherwise stated in writing.

Winikz retains the right to display completed work in our portfolio, case studies, and marketing materials unless a confidentiality agreement states otherwise.

Third-party tools, fonts, stock assets, plugins, or licensed software remain subject to their respective licenses. We will identify any recurring third-party costs where applicable.

7. Confidentiality

We treat non-public business information shared during a project as confidential and use it only to perform our services. Clients agree to keep our proprietary methods, internal pricing, and unpublished concepts confidential as well.

Either party may request a separate non-disclosure agreement for sensitive engagements.

8. Warranties & Disclaimer

We deliver services with professional skill and care consistent with industry standards. However, except as expressly stated in a written agreement, our website and services are provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted website availability, specific search engine rankings, or business outcomes resulting from design or development work. Clients are responsible for maintaining backups, hosting, and ongoing updates after handoff unless a support plan is in place.

9. Limitation of Liability

To the fullest extent permitted by law, Winikz shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption, arising from use of our website or services.

Our total liability for any claim relating to a project shall not exceed the amount paid by the client to Winikz for that specific project in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate an engagement according to the terms in the applicable project agreement. If no separate agreement exists, either party may terminate with written notice; fees for work completed up to the termination date remain payable.

Upon termination, we will deliver work completed to date in exchange for payment of outstanding invoices.

11. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on this page with a revised effective date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
